OVERVIEW

RanchX operates this store and website, including all related information, content, features, tools, products, and services, to provide customers with a curated shopping experience (the “Services”). RanchX is powered by Shopify, which enables provision of the Services.

These terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”), describe rights and responsibilities associated with use of the Services. These Terms of Service include important information about legal rights and address topics such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using the Services, users agree to be bound by these Terms of Service and the Privacy Policy [LINK]. Users who do not agree to these Terms of Service or the Privacy Policy should not use or access the Services.

SECTION 1 – ACCESS AND ACCOUNT

By agreeing to these Terms of Service, each user represents being at least the age of majority in the state or province of residence and that any minor dependents using the Services on devices owned, purchased, or managed by the user do so with appropriate authorization.

RanchX endeavors to provide accurate representations of products and services in the online store. However, colors and product appearance may differ from how they appear on individual devices due to device type, settings, and configuration.

RanchX does not warrant that the appearance or quality of any products or services purchased will meet expectations or match exactly what is depicted or rendered in the online store. All product descriptions are subject to change at any time without notice at the sole discretion of RanchX. RanchX reserves the right to discontinue any product at any time and to limit quantities offered to any person, geographic region, or jurisdiction on a case‑by‑case basis.

SECTION 3 – ORDERS

Placement of an order constitutes an offer to purchase. RanchX reserves the right, at its discretion, to accept or decline any order for any reason. An order is considered accepted only when RanchX issues an order confirmation. Payment must be received and processed before acceptance.

Orders should be reviewed carefully prior to submission, as cancellation requests may not be accommodated after acceptance. If an order is not accepted, is modified, or is cancelled, RanchX will make reasonable efforts to provide notice using the email address, billing address, and/or phone number supplied at checkout.

Purchases are subject to the RanchX Return & Refund Policy. Purchases are intended for personal or household use and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts, and promotions are subject to change without notice. The price charged for a product or service will be the price in effect at the time the order is placed and will appear in the order confirmation email. Unless expressly stated otherwise, posted prices exclude taxes, shipping, handling, customs, and import charges.

Prices in the online store may differ from prices in any physical locations or in other online or offline outlets operated by third parties. Promotions that affect pricing may be offered and will be governed by the terms set out for the promotion. In the event of a conflict between promotional terms and these Terms, the promotional terms will govern for that specific promotion.

Customers must provide current, complete, and accurate purchase, payment, and account information for all transactions and promptly update account details, including email address and payment information, so that transactions can be completed and necessary communications can be sent.

By providing payment information, the customer represents and warrants that: (i) the information is true, correct, and complete; (ii) authorization exists to use the payment method; (iii) all charges will be honored by the payment provider; and (iv) all charges at the posted prices, including shipping, handling, and applicable taxes, will be paid.

SECTION 5 – SHIPPING AND DELIVERY

RanchX is not liable for shipping or delivery delays. All delivery times are estimates and are not guaranteed. RanchX is not responsible for delays caused by shipping carriers, customs processes, or events beyond RanchX’s control. Upon transfer of products to the carrier, title and risk of loss pass to the customer.

SECTION 6 – INTELLECTUAL PROPERTY

The Services, including but not limited to all trademarks, brands, text, displays, images, graphics, product reviews, video, audio, and the design, selection, and arrangement thereof, are owned by RanchX, its affiliates, or licensors and are protected by applicable intellectual property laws.

Use of the Services is permitted solely for personal, non‑commercial purposes. Material from the Services may not be reproduced, distributed, modified, used to create derivative works, publicly displayed, publicly performed, republished, downloaded, stored, or transmitted without prior written consent from RanchX, except as allowed by applicable law. Except as expressly provided, these Terms do not grant any license or rights under any patent, trademark, copyright, or other intellectual property of RanchX, Shopify, or any third party. All rights not expressly granted are reserved.

RanchX names, logos, product and service names, designs, and slogans are trademarks of RanchX or its affiliates or licensors and may not be used without prior written permission. Shopify’s names, logos, product and service names, designs, and slogans are trademarks of Shopify. Other names and marks appearing on the Services are the trademarks of their respective owners.

SECTION 7 – OPTIONAL TOOLS

Third‑party tools may be made available as part of the Services. Such tools are provided “as is” and “as available,” without warranties, representations, or conditions of any kind and without endorsement. RanchX assumes no liability arising from or relating to the use of optional third‑party tools.

Any use of optional tools accessed through the site is at the user’s own risk and discretion, and the user should ensure familiarity with and approval of the terms imposed by the relevant third‑party provider(s). New features or tools added in the future will also form part of the Services and will be subject to these Terms of Service.

SECTION 8 – THIRD‑PARTY LINKS

The Services may contain materials and hyperlinks to websites or services provided or operated by third parties (including embedded third‑party functionality). RanchX does not control and is not responsible for the content or accuracy of any third‑party materials or websites accessed.

RanchX is not liable for any harm or damages related to access to or use of third‑party websites or any products, services, resources, or content obtained from such third parties. Users should review applicable policies and terms before engaging in any transaction with third parties. Complaints, claims, concerns, or questions regarding third‑party products or services should be directed to the third party.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

RanchX is powered by Shopify, which enables provision of the Services. Sales and purchases made through the store are made directly with RanchX. Shopify is not responsible for any aspect of sales between customers and RanchX, including any injury, damage, or loss resulting from purchased products or services. All claims, damages, and liabilities arising from or related to purchases and transactions with RanchX are expressly released as to Shopify and its affiliates.

SECTION 10 – PRIVACY POLICY

All personal information collected through the Services is subject to the RanchX Privacy Policy. Certain personal information may also be subject to Shopify’s Privacy Policy, available at https://www.shopify.com/legal/privacy/app-users. Use of the Services constitutes acknowledgment of these privacy policies.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about access to and use of the Services in order to provide and improve the Services. Information submitted through the Services may be transmitted to and shared with Shopify and other third parties located in countries other than the user’s country of residence, for purposes of providing services. SECTION 11 – FEEDBACK

Any ideas, suggestions, feedback, reviews, proposals, plans, or other content submitted, uploaded, posted, emailed, or otherwise transmitted (“Feedback”) grant RanchX a perpetual, worldwide, sublicensable, royalty‑free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any lawful purpose, including commercial purposes.

The submitter represents and warrants that: (i) all necessary rights to the Feedback are held; (ii) any compensation or incentives relating to the Feedback have been disclosed; and (iii) the Feedback complies with these Terms. RanchX is not obligated to maintain Feedback in confidence, provide compensation, or respond.

RanchX may, but is not obligated to, monitor, edit, or remove Feedback deemed unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, otherwise objectionable, or in violation of any party’s intellectual property or these Terms of Service. Responsibility for Feedback and its accuracy rests solely with the person providing it. RanchX assumes no liability for Feedback posted by any party.

SECTION 12 – ERRORS, INACCURACIES, AND OMISSIONS

Information on or in the Services may occasionally contain typographical errors, inaccuracies, or omissions related to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. RanchX reserves the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information is inaccurate at any time without prior notice, including after order submission.

SECTION 13 – PROHIBITED USES

Use of the Services is permitted only for lawful purposes. Without limitation, the Services may not be used, directly or indirectly: (a) for any unlawful or malicious purpose; (b) to violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances; (c) to infringe intellectual property rights; (d) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or harm any person; (e) to transmit false or misleading information; (f) to send, knowingly receive, upload, download, use, or re‑use any material that does not comply with these Terms; (g) to transmit or procure the sending of advertising or promotional material, including “junk mail”, “chain letters”, “spam”, or other similar solicitations; (h) to impersonate or attempt to impersonate any person or entity; or (i) to engage in conduct that restricts or inhibits others’ use or enjoyment of the Services or that may, as determined by RanchX, harm RanchX, Shopify, or users of the Services, or expose them to liability.

Further, it is prohibited to: (a) upload or transmit viruses or other malicious code intended to affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services; (c) collect or track others’ personal information; (d) spam, phish, pharm, pretext, spider, crawl, or scrape; or (e) interfere with or circumvent security features of the Services or related websites. RanchX reserves the right to suspend, disable, or terminate access to the Services at any time, without notice, if any part of these Terms is violated.

SECTION 14 – TERMINATION

RanchX may terminate this agreement or access to the Services (or any part thereof) at any time, in its sole discretion, without notice. All amounts due up to and including the date of termination remain payable.

Sections that by their nature should survive termination, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, and Privacy Policy, continue in full force.

SECTION 15 – DISCLAIMER OF WARRANTIES

Information presented on or through the Services is made available solely for general information purposes. No warranty is given as to the accuracy, completeness, or usefulness of such information. Reliance on such information is at the user’s own risk, and RanchX disclaims all liability arising from such reliance.

EXCEPT AS EXPRESSLY STATED BY RANCHX, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES, OR CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON‑INFRINGEMENT. NO GUARANTEE IS MADE THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR‑FREE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES; IN SUCH CASES, CERTAIN LIMITATIONS MAY NOT APPLY.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL RANCHX, ITS PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM USE OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO USE OF THE SERVICES OR ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SECTION 17 – INDEMNIFICATION

Each user agrees to indemnify, defend, and hold harmless RanchX, Shopify, and their affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys’ fees, payable to any third party due to or arising out of (1) breach of these Terms of Service or related documents, (2) violation of any law or third‑party right, or (3) access to or use of the Services.

SECTION 18 – SEVERABILITY

If any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall be enforced to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed. The validity and enforceability of the remaining provisions are not affected.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Failure by RanchX to exercise or enforce any right or provision under these Terms of Service does not constitute a waiver of such right or provision.

These Terms of Service, together with any policies or operating rules posted on the site in respect of the Services, constitute the entire agreement and understanding between RanchX and users regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.

SECTION 20 – ASSIGNMENT

No user may delegate, transfer, or assign these Terms or any rights or obligations under them without prior written consent from RanchX; any such attempt is void. RanchX may transfer, assign, or delegate these Terms and its rights and obligations without notice or consent.

SECTION 21 – GOVERNING LAW

These Terms of Service and any separate agreements under which Services are provided are governed by and construed in accordance with the laws and courts of the jurisdiction where RanchX is headquartered. Venue and personal jurisdiction in such courts are accepted by users and RanchX.

Headings are included for convenience only and do not affect the interpretation of these Terms.

SECTION 23 – CHANGES TO TERMS OF SERVICE

The most current version of these Terms of Service is available on this page. RanchX reserves the right, in its sole discretion, to update, change, or replace any part of these Terms of Service by posting updates and changes on the website. Users are responsible for checking the website periodically for changes. Where required by law, RanchX will provide notice of material changes, which take effect on the date specified in the notice. Continued use of or access to the Services following the posting of any changes constitutes acceptance of those changes.
